Acceptance of Terms By creating an account, checking the acceptance box, or using the FreelanceArmor web application ("the Service") in any way, you agree to be legally bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.
Service Description and Role FreelanceArmor is a productivity and documentation tool designed to help freelancers protect their business. It provides project scoping, AI-assisted analysis, contract and invoice generation, and payment tracking features. FreelanceArmor is NOT a payment processor, escrow service, or payment guarantee company. We do not guarantee that a client will pay you, and we are not responsible for a client's failure to pay.
Your Responsibilities and Role You are entirely responsible for all business decisions, client relationships, and outcomes. You acknowledge and agree that:
· Freelancer-Client Relationship: FreelanceArmor is not a party to any contract or agreement between you and your client. Any disputes, non-payment, or project issues are solely between you and the client. · Accuracy of Information: You are responsible for the accuracy of all information you enter into the Service, including project details, payment destination links, and client email addresses. · Legal and Tax Compliance: You are responsible for complying with all applicable laws, regulations, and tax obligations in your jurisdiction related to your freelance business. Contracts generated by the Service are templates and should be reviewed by a qualified legal professional to ensure they meet your specific needs and local legal requirements.
· No Professional Advice: AI Outputs do not constitute legal, financial, or professional advice. · Not Error-Free: AI technology can produce inaccurate, incomplete, or biased information. You must review all AI-generated content for appropriateness and accuracy before use. · Your Sole Risk: Your reliance on any AI Output is solely at your own risk. We are not liable for any damages or losses resulting from your use of or reliance on AI-generated content.
· No Money Handling: FreelanceArmor does not receive, hold, or disburse any funds. Our "Pay Now" feature simply redirects your client to the public payment link you have provided (e.g., your personal PayPal.me link, Stripe Payment Link, or UPI ID). · Your Payment Accounts: You are responsible for the setup, terms, and fees associated with your own third-party payment accounts (PayPal, Stripe, Wise, etc.). Any issues with a transaction must be resolved directly with your client and your payment provider.
· Plans: The Service is offered on a subscription basis (e.g., "Scout" Free Plan, "Professional," "Fortress"). The features and limits for each plan are clearly detailed on our Pricing page and Admin Panel. · Fees: All paid subscription fees are in USD and are non-refundable, except as required by law. · Auto-Renewal: Paid subscriptions automatically renew until you cancel. You can cancel your subscription from your account settings. · Plan Limits: Usage is subject to the limits of your current plan. If you exceed a limit for a feature, you will be prompted to upgrade to a higher plan to continue using that specific feature. · Changes: The platform founder reserves the right to change pricing, plan features, and limits. Users will be notified of material changes before they take effect on their next billing cycle.
· Your Data: You retain all ownership rights to the project data, contracts, invoices, and other content you create using the Service ("Your Content"). You grant us a non-exclusive, royalty-free license to host and use Your Content solely for the purpose of operating and improving the Service. · Our Platform: The FreelanceArmor platform, including its code, design, AI system architecture, and original content, is owned by us and is protected by intellectual property laws.
· By You: You may delete your account at any time through your Settings. This action permanently deletes your data and cancels any active subscription. · By Us: We may suspend or terminate your account for a breach of these Terms, with a clear explanation provided to you. A suspended user will see the reason for suspension upon attempting to log in. We reserve the right to remove accounts for illegal activity, abuse, or non-payment without prior notice.
Disclaimer of Warranties The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including the warranty of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
Limitation of Liability To the maximum extent permitted by applicable law, FreelanceArmor, its founder, and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, business opportunities, or data, arising out of or related to these Terms or the use of the Service, regardless of the legal theory, even if we have been advised of the possibility of such damages. Our total aggregate liability is limited to the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim, or one hundred USD ($100), whichever is greater.
Changes to Terms We may modify these Terms from time to time. If material changes are made, we will notify you via email or an in-app alert and may require you to re-accept the updated Terms before your next use of the Service. Your continued use after the effective date of the new Terms constitutes your agreement.
Governing Law These Terms shall be governed and construed in accordance with the laws of [Your Country/State], without regard to its conflict of law provisions.
